Through the streaming service of Medtalkz SA NPC (Reg number 2007/033618/08) (“MedTalkz”), a healthcare professional streams audio-visual presentations, lectures, and lecture content on topics related to healthcare, as well as advertisements for goods and services (the “Service”).
2. Vetting of Advertisements
Advertisements may be vetted by MedTalkz before being displayed on the Service. We reserve the right not to display an advertisement. We also reserve the right to stop displaying an advertisement (temporarily or permanently) without reason and without notice to the advertiser. If we decline to display an advertisement or if we stop displaying an advertisement, we will inform the advertiser that we have done so.
3. Targeting of Speakers
No advertisement may be directed at any particular person or institution whose presentations, lectures, or lecture content are streamed on the Service.
4. Adherence to Laws and Standards
The advertiser warrants and represents to MedTalkz that:
4.1. its advertisement does not infringe any right (including, without limitation, any intellectual property right) of any other person; and
4.2. its advertisement conforms to all laws applicable to advertisements of your advertisement’s nature as well as to all generally accepted standards and norms for advertisements determined from time to time by any Regulatory Authority including, but not limited to, applicable consumer protection legislation.
4.3. the advertiser has appropriately assigned its adverts to the correct advert grouping of Medtalkz. The "correct advert grouping" shall be determined with reference to the category of medicine or medical device, as contemplated in the Medicines & Related Substances Act No. 101 of 1965, as amended, the Scheduled status of the medicine, including a complementary medicine, or the class of a medical device and whether or not the medicine, including a complementary medicine, or medical device is registered by a Regulatory Authority and accordingly, with reference to applicable laws, may be displayed only to members of the public that are not registered healthcare practitioners or only and exclusively to registered healthcare practitioners.
The advertiser indemnifies MedTalkz and holds it harmless against all loss, damages, costs, and expenses that MedTalkz may suffer or incur out of or in connection with its advertisement.
6.1. The advertiser agrees that we may, at any time, transfer, cede, delegate, or assign any or all of our rights and obligations under these terms and that we may do so without the advertiser’s consent.
6.2. These terms shall apply for the benefit of and be binding upon MedTalkz successors and assigns and upon the advertiser’s successors.
6.3. These terms shall be governed by the laws of the Republic of South Africa.
6.4. MedTalkz’s failure to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
6.5. These terms make up the whole agreement between the advertiser and MedTalkz relating to the display of the advertiser’s advertisement on the Service.
6.6. In these terms, headings are for convenience only and may not be used in interpreting these terms.
